Documented Instructions. Planful and its Third Parties shall Process Client Personal Data only in accordance with the documented instructions of Client or as specifically authorized by this Addendum, the Agreement, or any applicable Statement of Work. Planful will, unless legally prohibited from doing so, inform Client in writing if it reasonably believes that there is a conflict between Client’s instructions and applicable law or otherwise seeks to Process Client Personal Data in a manner that is inconsistent with Client’s instructions.
