Documents and Other Data Clause Samples

Documents and Other Data. Upon suspension, abandonment or termination, Designer shall provide to City all preliminary studies, sketches, working drawings, specifications, computations, and all other Project Documents, as defined below, to which City would have been entitled at the completion of Designer’s Services under this Agreement. Upon payment of the amount required to be paid to Designer pursuant to the termination provisions of this Agreement, City shall have the rights, as provided in this Agreement hereinafter, to use such Project Documents prepared by or on behalf of Designer under this Agreement. Designer shall make such documents available to City upon request and without additional compensation other than as may be approved as a reimbursable expense.

Upon payment of the amount required to be paid to Architect pursuant to the termination provisions of this Agreement, DISTRICT shall have the rights, as provided in this Agreement hereinafter, to use such Project Documents prepared by or on behalf of Architect under this Agreement. In the event of a dispute regarding the amount of compensation to which the Architect is entitled under the termination provisions of this Agreement, Architect shall provide all Project Documents to DISTRICT upon payment of the undisputed amount. Architect shall have no right to retain or fail to provide to DISTRICT any such documents pending resolution of the dispute. Architect shall make such documents available to DISTRICT without additional compensation other than as may be approved as a reimbursable expense.
