Upon payment of the amount required to be paid to Designer pursuant to the termination provisions of this Agreement, City shall have the rights, as provided in this Agreement hereinafter, to use such Project Documents prepared by or on behalf of Designer under this Agreement. Designer shall make such documents available to City upon request and without additional compensation other than as may be approved as a reimbursable expense.

In the event of a dispute regarding the amount of compensation to which the Architect is entitled under the termination provisions of this Agreement, Architect shall provide all Project Documents to DISTRICT upon payment of the undisputed amount. Architect shall have no right to retain or fail to provide to DISTRICT any such documents pending resolution of the dispute. Architect shall make such documents available to DISTRICT without additional compensation other than as may be approved as a reimbursable expense.
