Documents and Other Documents. Receipt by Lender of appropri- ately completed and duly executed originals of this Agreement, the Note, a resolution of Bor- rower’s members, managers, partners or board of directors, as the case may be, and a certifi- cate of Borrower’s certifying official certifying the corporate documents of Borrower and the identity and signature of Borrower’s members, managers, partners or board of directors, as the case may be. ���No Default. No event shall have occurred and be continuing that consti- tutes an Event of Default or, with the giving of notice and/or the lapse of time, could consti- tute an Event of Default. ���Representations. All representations and warranties and statements con- tained in this Agreement, the Note and any and all documents delivered to Lender in connec- tion with the Loan (including the application therefor) shall be true and correct in every mate- rial respect.
