Common use of Documents and Proceedings Clause in Contracts

Documents and Proceedings. All documents to be provided to the Purchaser hereunder, and all corporate and other proceedings taken or required to be taken in connection with the transactions contemplated hereby and to be consummated at or prior to the Initial Closing, the [ * ] Closing and the [ * ] Closing and the Milestone Closing (as the case may be) and all documents incident thereto, shall be satisfactory in form and substance to the Purchaser or its counsel; and
