The Trustee, subject to the provisions of Sections 6.1 and 6.2, shall receive an Officer’s Certificate and an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article VIII complies with the applicable provisions of this Indenture and that the supplemental indenture is valid and binding on the Issuer, enforceable against it in accordance with its terms.
