Documents to be Submitted by Company. Subject to Section 22.12, the Company shall provide the following documents to BPDB: (a) Not used (b) Permits and Licences As soon as available, copies of all permits, licenses, approvals and other Government Authorisations that have been issued to the Company for the design, financing, construction, operation and maintenance of the Facility. (c) O&M Agreement Not later than sixty (60) Days after execution of any O&M Agreement and in any event not less than one hundred and twenty (120) Days before the then-prevailing Scheduled Commercial Operations Date, a copy of the Company’s plan for the operation and maintenance of the Facility or an O&M Agreement entered into by the Company; provided, that if the Company provides the O&M Agreement it shall be permitted to delete from the O&M Agreement all specific references to amounts payable by the Company thereunder. The confidentiality provisions contained in this Agreement shall apply to BPDB with respect to the O&M Agreement. (d) Testing Procedure and Protocols (i) At least one hundred and twenty (120) Days before the scheduled commencement of the testing and Commissioning of the Facility, the Company shall submit to BPDB detailed procedures and protocols to be used during the corresponding testing. (ii) The Engineer and BPDB shall have the opportunity to provide written comments on the proposed procedure and protocols within thirty (30) Days of receipt from the Company of said documentation, and the three Parties will reach an agreement on the procedures and protocols to be used for testing not later than sixty (60) Days prior to the scheduled commencement of the respective testing and Commissioning; provided, that: (A) if BPDB fails to submit written comments to the Company within the thirty

  • Documents to be Furnished The following documents, including any amendments thereto, will be provided contemporaneously with the execution of the Agreement to the Custodian by the Trust: (a) A copy of the Trust’s declaration of trust, certified by the Secretary; (b) A copy of the Trust’s bylaws, certified by the Secretary; (c) A copy of the resolution of the Board of Trustees of the Trust appointing the Custodian, certified by the Secretary; (d) A copy of the current prospectus of the Fund (the “Prospectus”); (e) A certification of the Chairman or the President and the Secretary of the Trust setting forth the names and signatures of the current Officers of the Trust and other Authorized Persons; and (f) An executed authorization required by the Shareholder Communications Act of 1985, attached hereto as Exhibit E.

  • Documents to be Delivered by Seller At Closing At or prior to the Closing, Seller shall deliver or cause to be delivered to Purchaser the following, all in form and substance reasonably satisfactory to Purchaser: a. Special Warranty Deed to Purchaser or Purchaser's nominee in recordable form, conveying good and marketable title in fee simple to the Property and Building, subject only to the Permitted Exceptions; b. The Title Policy or a "marked-up" Title Commitment (including extended coverage and title endorsements) and indicating waiver or deletion of the Removable Exceptions; c. The Seller's Estoppel Certificate shall contain the matters set forth in Exhibit "B" attached hereto; f. Notices executed by Seller to all tenants, licensees or concessionaires, under the Leases and Project Contracts directing such parties to pay all rental and other payments to Purchaser or its agent; g. All architectural drawings, plans, specifications, surveys, building permits, occupancy permits or other similar items in Seller's possession and control which Seller has created, used or relied upon for the ownership and maintenance of the Project; h. A non-foreign certificate in accordance with the provisions of paragraph 22 hereof; i. Insurance certificates in Seller's possession required by the tenants under the Lease; j. A rent roll dated as of the Closing certified by Seller to Purchaser to be true, correct and complete; k. All keys in possession of the Seller used in connection with the Project and the combinations to all locks included on the Project; l. An affidavit of title; m. A certificate from Seller stating that the representations and warranties set forth in paragraph 9 are true and accurate in an material respects as of the date of the Closing; and n. Such other documents as Purchaser or the Title Company may reasonably request to enable Purchaser to consummate the Transaction contemplated by this Agreement.
