Documents to be. filed with request for consent to transfer - The request for consent to the transfer must be accompanied by: (a) a copy of the transfer agreement, (b) an acknowledgement and agreement to be bound in the form attached as Schedule A to the escrow agreement, executed by the transferee, (c) where the performance shares are to be transferred to a non-reporting or closely held company, wherever situate, rather than to an individual, an undertaking by the company in the form attached as Appendix C to this local policy statement, (d) where applicable, evidence that the proposed change of control has been approved by the shareholders of the issuer, and (e) the appropriate application fee.
