Due Authority of Signatories. Each Party hereby represents and warrants that it has all power and authority necessary to execute, deliver, and perform this LBA. Each person who has signed this LBA on behalf of a Party shall be deemed and construed to thereby represent and warrant that he, she, or they has been duly authorized by appropriate action of such Party to sign, and thereby bind such Party to, this LBA. Signatures transmitted by email in PDF or similar format shall be deemed and construed to be valid and binding for all purposes of this LBA.
