Common use of Due Authority of Signatories Clause in Contracts

Due Authority of Signatories. Each Party hereby represents and warrants that it has all power and authority necessary to execute, deliver, and perform this CSA. Each person who has signed this CSA on behalf of a Party shall be deemed and construed to thereby represent and warrant that he, she, or they has been duly authorized by appropriate action of such Party to sign, and thereby bind such Party to, this CSA. Signatures transmitted by email in PDF or similar format shall be deemed and construed to be valid and binding for all purposes of this CSA.
