Due Authorization and Issuance. Any Pledged Equity existing on the date hereof has been, and to the extent any Pledged Equity is hereafter issued, such Pledged Equity will be, upon such issuance, duly authorized, validly issued and fully paid and non-assessable to the extent applicable.
