Common use of Due Authorization; No Contravention Clause in Contracts

Due Authorization; No Contravention. To the extent such Party is an entity, the execution, delivery and performance by it of this Agreement have been duly authorized by all necessary action, and do not and will not: (a) Breach or violate the terms of its certificate of incorporation (or similar constituent document) or bylaws (or similar constituent document); (b) Breach or violate the terms of any material agreement to which it is party; or (c) Violate any law or regulation applicable to it, including but not limited to the Communications Act and the rules and regulations promulgated from time to time by the FCC. To the extent such Party is an individual, the execution, delivery and performance by him of this Agreement does not and will not breach or violate the terms of any material agreement to which he is a party or violate any law or regulation applicable to him.
