The execution, delivery and performance of this Agreement are within its powers, have been duly authorized by all necessary action (including with respect to Buyer its obligations under Section 4.1(d)) and do not violate any of the terms or conditions in its governing documents or any contract to which it is a party or any law, rule, regulation, order, writ, judgment, decree or other legal or regulatory determination applicable to it.
