Contractor has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder, and the execution, delivery and performance of this Agreement by Contractor have been duly authorized by all necessary corporate action on the part of Contractor. This Agreement is the valid and binding obligation of Contractor, enforceable in accordance with its terms
