Common use of Due Execution and Delivery Clause in Contracts

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Company and, assuming that this Agreement constitutes a valid and binding obligation of the Stockholder, this Agreement constitutes a legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Company Stockholder and, assuming that this Agreement constitutes a valid and binding obligation of the StockholderCompany, this Agreement constitutes a legal, valid and binding obligation of the CompanyStockholder, enforceable against the Company Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, and validly executed and delivered by the Company Stockholder and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of the Stockholderdelivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the CompanyStockholder, enforceable against the Company Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception.

This Agreement has been duly authorized, and validly executed and delivered by the Company such Stockholder and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of the Stockholderdelivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the Companysuch Stockholder, enforceable against the Company such Stockholder in accordance with its terms, subject to the Bankruptcy effect of any applicable bankruptcy, reorganization, insolvency, moratorium or similar laws affecting creditors’ rights generally and Equity Exceptionsubject, as to enforceability, to the effect of general principles of equity.

This Agreement has been duly authorized, and validly executed and delivered by the Company such Stockholder and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of the Stockholderdelivery hereof by Parent, this Agreement constitutes a legal, valid and binding obligation agreement of the CompanyStockholder, enforceable against the Company such Stockholder in accordance with its terms, terms (subject to the Bankruptcy applicable bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium or other laws affecting creditors’ rights generally and Equity Exceptiongeneral principles of equity).

This Agreement has been duly authorized, executed and delivered by the Company Principal Stockholder and, assuming that due authorization, execution and delivery of this Agreement constitutes a valid by the Company, Parent and binding obligation of the StockholderMerger Sub, this Agreement constitutes a legal, valid and binding obligation of the CompanyPrincipal Stockholder, enforceable against the Company Principal Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception.
