Common use of Due Execution and Delivery Clause in Contracts

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Company and, assuming that this Agreement constitutes a valid and binding obligation of the Stockholder, this Agreement constitutes a legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Company Stockholder and, assuming that this Agreement constitutes a valid and binding obligation of the StockholderCompany, this Agreement constitutes a legal, valid and binding obligation of the CompanyStockholder, enforceable against the Company Stockholder in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, executed and delivered by the Company Shareholder and, assuming that this Agreement constitutes if a valid corporate entity, has been validly authorized by all necessary corporate action, and binding obligation of the Stockholder, this Agreement constitutes a legal, valid and binding obligation of the Company, Shareholder enforceable against the Company Shareholder in accordance with its terms, subject to limitations with respect to enforcement imposed by law in connection with bankruptcy, insolvency, reorganization or other laws affecting creditors' rights generally and to the Bankruptcy extent that equitable remedies such as specific performance and Equity Exceptioninjunction are only available in the discretion of the court from which they are sought.

This Agreement has been duly authorized, and validly executed and delivered by the Company Shareholder and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of delivery hereof by the StockholderCompany, this Agreement constitutes a legal, valid and binding obligation agreement of the CompanyShareholder, enforceable against the Company in accordance with its terms, subject to the Bankruptcy and Equity Exception.

Due Execution and Delivery. This Agreement has been duly authorized, and validly executed and delivered by the Company and, assuming that this Agreement constitutes a valid due authorization, execution and binding obligation of the delivery hereof by each such Stockholder, this Agreement constitutes a legal, valid and binding obligation agreement of the Company, enforceable against the Company in accordance with its terms, subject to the Bankruptcy effect of any applicable bankruptcy, reorganization, insolvency, moratorium or similar laws affecting creditors’ rights generally and Equity Exceptionsubject, as to enforceability, to the effect of general principles of equity.
