Common use of Due Organization and Power Clause in Contracts

Due Organization and Power. Buyer is a corporation duly organized, validly existing and in good standing under the laws of Delaware. Buyer has all requisite corporate power, legal right and authority to enter into this Agreement and the other documents and instruments to be executed and delivered by Buyer pursuant hereto and to carry out the transactions contemplated hereby and thereby.

Due Organization and Power. Buyer is a corporation duly organized, validly existing and in good standing under the laws of Delaware. Buyer the State of Delaware and has all requisite corporate power, legal right power and authority to enter into this Agreement and perform its obligations hereunder. Buyer has heretofore made available to Appleton true and complete copies of its certificate of incorporation and bylaws as currently in effect (the other documents and instruments to be executed and delivered by “Buyer pursuant hereto and to carry out Organizational Documents”). Buyer is not in violation of any of the transactions contemplated hereby and therebyprovisions of the Buyer Organizational Documents.

Due Organization and Power. Buyer is a corporation duly organized, validly existing and in good standing incorporated under the laws of Delaware. Buyer the State of Delaware and has all the requisite corporate power, legal right power and authority to enter into this Agreement and conduct its current business. ▇▇▇▇▇ is duly qualified to do business in each jurisdiction where the other documents and instruments conduct of the business of Buyer requires such qualification, except in such jurisdictions where the failure to be executed and delivered by Buyer pursuant hereto and so qualified would not reasonably be expected to carry out prevent, or result in any delay in the consummation of, the transactions contemplated hereby and therebyhereby.

Buyer has all the requisite corporate power, legal right power and authority to enter into this Agreement and the other documents and instruments to be executed and delivered by Buyer pursuant hereto and to carry out the transactions contemplated hereby business in which it is engaged and therebyto own and use the properties owned and used by it.

Buyer has all requisite corporate power, legal right and authority to enter into this Agreement and the other documents and instruments to be executed and delivered by Buyer pursuant hereto and to carry out the transactions contemplated hereby and thereby.
