Sponsor is a corporation, duly organized, validly existing and in good standing under the laws of Delaware, and Sponsor has all requisite power and authority to enter into this Agreement. All corporate approvals and actions necessary for the entrance by Sponsor into this Agreement have been obtained and this Agreement has been duly and validly executed and delivered by Sponsor.
