Common use of Due Payment Clause in Contracts

Due Payment. All amounts which have fallen due to be paid to or in respect of the Seller Employee Benefit Plans by the Company or the Seller on or before the date of this Agreement (including all insurance premiums, taxes and expenses) have been duly paid in full.

Due Payment. All amounts which have fallen due to be paid to or in respect of the Seller Employee Benefit Plans by the any Target Company or member of the Seller Group on or before the date of this Agreement Offer Date (including all insurance premiums, taxes and expenses) have been duly paid in full.
