Duties and Obligations of Employee. Employee shall serve as Executive ------------------------------------- Vice President. Duties and Obligations of Employee. Section 2.1. General Job Responsibilities. Employee is being hired for the position of Chief Executive Officer for the Employer. Employee shall report directly to Employer’s Board of Directors. In that capacity, Employee shall be responsible for performing those duties for the Company consistent with the position of Chief Executive Officer of a company and as may from time to time be reasonably assigned to or requested of Employee by the Company’s Board of Directors. Employee shall use his reasonable efforts to perform faithfully and effectively such responsibilities. Employee shall conduct all of his activities in a manner so as to maintain and promote the business and reputation of the Company.
Duties and Obligations of Employee. Employee shall serve as the Chief Executive Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including the following:
(a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer;
(b) Participating in community affairs which are beneficial to the Employer;
(c) Maintaining a good relationship with the Board of Directors of the Employer, its management officers and shareholders;
(d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiaries;
(e) Acting as a member of the Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors to which the Employee may be appointed or elected; and

Section 2.01. Employee shall serve as Vice President for Administration and General Counsel of THE WORLD WIDE MAGIC NET, INC. In that capacity, Employee shall do and perform all services, acts, or things necessary or advisable to fulfill the duties of a corporate vice president and General Counsel. However, Employee shall at all times be subject to the direction of the President, and to the policies established by the Board of Directors, of Employer. ▇▇▇▇▇ and Conscientious Performance of Duties
Section 2.02. Employee agrees that to the best of his ability and experience he will at all times loyally and conscientiously perform all of the duties and obligations required of him either expressly or implicitly by the terms of this agreement. Devotion of Entire Time to Employer's Business
(a) Employee shall devote his entire productive time, ability, and attention to the business of Employer during the term of this contract.
(b) During the term of this agreement, Employee shall not engage in any other business duties or pursuits whatsoever. Furthermore, during the term of this agreement, Employee shall not, whether directly or indirectly, render any services of a commercial, or professional nature to any other person or organization, whether for compensation or otherwise, without the prior written consent of Employer's President. However, the expenditure of reasonable amounts of time for educational, charitable, or professional activities, including pursuit of a legal practice, shall not be deemed a breach of this agreement if those activities do not materially interfere with the services required under this agreement and shall not require the prior written consent of Employer's President.
(c) This agreement shall not be interpreted to prohibit Employee from making passive personal investments or conducting private business affairs if those activities do not materially interfere with the services required under this agreement. However, Employee shall not, directly or indirectly, acquire, hold, or retain any interest in any business competing with or similar in nature to the business or Employer.
Duties and Obligations of Employee. The Employee shall serve as the Chief Credit Officer of the Employer and shall perform the customary duties of such office in the commercial banking industry, including those listed below. Employee shall also perform such other duties and in such other positions as are requested of him by the Employer.
(a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Chief Executive Officer of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Chief Executive Officer.
(b) Participating in community affairs which are beneficial to the Employer.
(c) Maintaining a good relationship with the Board of Director, the Chief Executive Officer, the management officers and the shareholders of the Employer.
(d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its related and affiliated entities.
Duties and Obligations of Employee. Employee currently works at will for the City as its Deputy City Manager/Development Services (hereinafter referred to as “Position”). Employee hereby agrees to perform the duties of the Position as set forth in the City’s Municipal Code, Rules, Regulations, and Policies, and to perform such other duties as assigned by the City Manager. It is expressly understood that the terms of this Agreement, including but not limited to those governing termination of employment, supersede any rights conferred by City Ordinance, Rule, Regulation or Policy.
Duties and Obligations of Employee. Employee currently works at will for the City as its Chief of Police (hereinafter referred to as “Position”). Employee hereby agrees to perform the duties of the Position as set forth in the City’s Municipal Code, Rules, Regulations, and Policies, and to perform such other duties as assigned by the City Manager. Duties and Obligations of Employee. Employee shall serve as the Executive Vice President / Chief Credit Officer of Employer. In addition, Employee shall serve as the Executive Vice President / Chief Credit Officer of Employer’s subsidiary, North Valley Bank. Employee shall perform the customary duties of such office in the commercial banking industry, and such other duties as may from time to time be requested of Employee by Employer, as set forth in the Position Description attached hereto as Exhibit A. Any change in the position description or job title will not constitute a termination of this Agreement.
Duties and Obligations of Employee. Section 2.1. General Job Responsibilities. Employee is being hired for the position of Sr. Software Engineer for the Employer. Employee shall report directly to Employer’s executive team, primarily ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇. In that capacity, Employee shall do and perform the following services: • The Sr. Software Engineer will be responsible for acting as lead developer and product engineer for MMJ Menu, and developing analytical applications that will mine customer data to drive value for the leading online medical marijuana portal. The Employee will be involved throughout the application lifecycle, from requirements gathering through production rollout. The Employee will work to maintain existing MMJ Menu architecture and continue to launch new feature sets within MMJ menu. The Employee will also manage operations at MMJ menu and work directly with GC management to ensure proper operations and procedures. The Employee will have balance sheet accountability for their respective work on MMJ menu and future projects in which they are involved. • It is anticipated that after the first 90 days the Employee will also build out new software products with feedback from sales, marketing, IT and executive teams. • Additional responsibilities as required by the Employer.
