Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's President and Chief Operating Officer, with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Executive shall, subject to the supervision of the Company's Chief Executive OfficerBoard, serve as have general management of the Company's President business, affairs and Chief Operating Officer, property of the Company in the ordinary course of its business with all such powers with respect to such general management as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, to such officershipsresponsibilities.

Executive shall, subject to the supervision of the Company's Executive Vice President and Chief Executive Financial Officer, serve as the Company's Vice President and Chief Operating Officer, Controller with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's President Executive Vice President, General Counsel, and Chief Operating Officer, Secretary with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's Senior Vice President - Marketing and Chief Operating Officer, Sales with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's Senior Vice President and Chief Operating Officer, - Corporate Development with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's Executive Vice President and Chief Operating Officer, - Managed Care Services with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Executive shall, subject to --------------------------------- the supervision of the Company's Chief Executive OfficerOfficer or his designee, serve as the Company's Senior Vice President and Chief Operating Information Officer, with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's President and Executive Vice President, Chief Operating Financial Officer, and Treasurer with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, shall serve as the Company's President and Chief Operating Officer, Chairman of the Board of Directors with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, Board of Directors serve as the Company's President and Chief Operating OfficerExecutive Officer and as an executive officer of various Company subsidiaries and affiliates, with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.

Duties and Restrictions. (a) Duties as Employee of the Company. Executive shall, subject to the supervision of the Company's Chief Executive Officer, serve as the Company's Senior Vice President and Chief Operating Officer, Medical Officer with all such powers as may be set forth in the Company's Bylaws with respect to, and/or are reasonably incident to, such officerships.
