Duties Extent of Services. Employee shall perform for Employer all duties incident to the position of Senior Vice President, under the direction of the Board of Directors, the Chief Executive Officer, and the President of Employer or their designee(s). In addition, Employee shall engage in such other services for Employer or its affiliated companies as Employer from time to time shall direct. The duties, services and reporting relationship of Employee and the title of Employee’s position may be extended, reduced, re-assigned, curtailed or modified unilaterally by Employer from time to time without breaching or affecting the enforceability of the terms of this Agreement. Employee shall use his best efforts in, and devote his entire time, attention and energy, to Employer’s business, and Executive shall not conduct any other activities for pecuniary gain or that are or may be detrimental to Employer’s business.

Duties Extent of Services. Employee shall continue to serve as Executive Vice President and Chief Medical Officer of the Company. As Executive Vice President and Chief Medical Officer, Employee shall perform such duties and responsibilities as are typically incident thereto and shall perform in a faithful and competent manner such additional duties as may be reasonably assigned from time to time by the Company. Throughout the term of this Agreement, Employee shall report to the Chief Executive Officer of the Company. Such duties shall be performed on a full-time basis for the Company at the Company's offices in Nashville, Tennessee. Employee may be required, from time to time, to perform his duties temporarily hereunder at such other place or places as the Company shall reasonably require, provided that such period does not exceed thirty (30) consecutive days without Employee's consent and that during any such period Employee is able to return to Nashville, Tennessee at the Company's expense for weekends. Employee shall devote all of Employee's business time, attention, knowledge, and skill solely to the business and interest of the Company, and the Company shall be entitled to all the benefits, profits, and other issues arising from, or incident to, all work, services, and advice of Employee.

Duties Extent of Services. Employee is engaged as Executive Vice President and Chief Operating Officer and shall perform such duties and responsibilities as are typically incident thereto, and shall perform in a faithful and competent manner such additional duties as may be reasonably assigned from time to time by the Company. Such duties shall be performed on a full-time basis for the Company at the Company's offices in Nashville, Tennessee. Employee may be required, from time to time, to perform his duties temporarily hereunder at such other place or places as the Company shall reasonably require, provided that such period does not exceed thirty (30) consecutive days without Employee's consent and that during any such period Employee is able to return to Nashville, Tennessee at the Company's expense for weekends. Duties Extent of Services. Executive shall perform for Bank all duties incident to the position of Senior Vice President/Chief Financial Officer of Bank, under the direction of the President/Chief Executive Officer and board of directors of Bank or its designee. In addition, Executive shall engage in such other services for Bank or its affiliated companies as Bank from time to time shall direct. The precise services of Executive and the title of Executive’s position may be extended, curtailed or modified by Bank from time to time without affecting the enforceability of the terms of this Agreement. Duties Extent of Services. Executive shall perform for Employer all duties incident to the position of President and Chief Executive Officer of Sunshine. In addition, Executive shall engage in such other services for Employer or its affiliates, as Employer from time to time shall direct, commensurate with his position. Executive shall use his best efforts in, and devote his entire time, attention, and energy, to Employer's business; provided that nothing contained herein is intended to prohibit Executive from spending a reasonable amount of time managing his personal investments and discharging his responsibilities on civic or religious boards as long as such activities do not interfere with his duties and obligations under this Agreement, and provided further that with the approval of the Board of Directors (which approval shall not be unreasonably withheld), from time to time Executive may serve, or continue to serve, on the boards of directors of, and hold any other offices or positions in companies or organizations which, in the Board's sole judgment, will not present any conflict of interest with Sunshine or any performance of Executive's duties under this Agreement, or which will not violate any applicable statute, rule or regulation.

Duties Extent of Services. (a) Executive is and will be engaged by the Company as President and Chief Operating Officer reporting directly to ▇▇▇▇ ▇. ▇▇▇▇, Chief Executive Officer. (b) Executive, subject to the direction and control of the Board of Directors of the Parent (the “Board”) and the Company, shall have the power and authority commensurate with his executive status and necessary to perform his duties hereunder. During the Term, Executive shall devote his entire working time, attention, labor, skill and energies to the business of the Company, and shall not, without the consent of the Company, be actively engaged in any other business activity, whether or not such business activity is pursued for gain, profit or other pecuniary advantage.

Duties Extent of Services. Employee shall perform for Employer all duties incident to the position of Senior Vice President Senior Lending Officer of the Employer, under the direction of the president of Employer, or its designee. In addition, Employee shall engage in such other services for Employer or its affiliated companies, as Employer from time to time shall direct. The precise services of Employee and the title of Employee's position may be extended, curtailed or modified by Employer from time to time without affecting the enforceability of the terms of this Agreement. Employee shall use his best efforts in, and devote his entire time, attention, and energy, to Employer's business and, except as previously disclosed to Employer, shall not during the term hereof serve, without the express permission of the board of directors of Employer, as an officer or director of any business enterprise other than the Company or an affiliate

Duties Extent of Services. Executive shall perform for Employer all duties incident to the positions of (i) Chairman, Chief Executive Officer and President of the Corporation and (ii) Chairman and Chief Executive Officer of the Banks. For the remaining term of this Agreement, at each annual meeting of the shareholders of the Corporation and the Banks, Executive shall be nominated and elected to serve as a director of the Corporation and the Banks. In addition, Executive shall engage in such other services for Employer or its affiliates as Employer from time to time shall direct. Executive shall use his best efforts in, and devote his entire time, attention, and energy, to Employer’s business; provided that nothing contained herein is intended to prohibit Executive from spending a reasonable amount of time managing his personal investments and discharging his civic responsibilities as long as such activities do not interfere with his duties and obligations under this Agreement.

Duties Extent of Services. Employee is initially engaged as an employee of the Company, and Employee shall be engaged as Executive Vice President and Chief Financial Officer of the Company effective upon the effective date of the resignation of Rona▇▇ ▇▇▇▇▇ ▇▇▇m such positions. As Executive Vice President and Chief Financial Officer, Employee shall perform such duties and responsibilities as are typically incident thereto and shall perform in a faithful and competent manner such additional duties as may be reasonably assigned from time to time by the Company. Throughout the term of this Agreement, Employee shall report to the Chairman or Chief Executive Officer of the Company.
