Duties of ▇▇▇▇▇. ▇▇▇▇▇ will be employed by the Company as its Chief Executive Officer and President and shall serve as Chairman of the board of directors, and shall have such duties and shall serve in such capacity and in such other capacities at the Company or any of its Affiliates as shall be designated, or to which ▇▇▇▇▇ shall be elected, from time to time, by the Board of Directors of the Company ("Board"), and in accordance with the bylaws of the Company as in effect from time to time.

Duties of ▇▇▇▇▇. ▇▇▇▇▇ shall continue to be employed by the Company as its Vice President and Chief Scientific Officer, performing such duties consistent with such position as its Board of Directors shall assign to ▇▇▇▇▇ from time to time. As an exempt employee, ▇▇▇▇▇ shall work those hours that are reasonably necessary to complete his assigned duties on behalf of the Company, with the understanding that it is expected that his time commitment to his position responsibilities shall average at least twenty (20) hours per week. Even though working a half-time schedule, ▇▇▇▇▇ shall serve the Company faithfully and diligently, using his best efforts to promote the interests of the Company. ▇▇▇▇▇ further agrees when called upon to serve as a member of the Board of Directors of the Company. Any service as a director shall be part of ▇▇▇▇▇’▇ expected time commitment to the Company and therefore performed without expectation of any additional compensation.

Duties of ▇▇▇▇▇. ▇▇▇▇▇ agrees: (a) ▇▇▇▇▇ will serve as a Consultant and will act as part of the Executive Management Team in assisting the Company in achieving stated goals represented in the Company's Business Plan; (b) to introduce financing resources to the Company; to introduce the Company to potential sources of revenue and strategic alliances for the Business; (c) to perform such other related duties as the Company may, from time to time, reasonably request.

Duties of ▇▇▇▇▇. ▇▇▇▇▇ shall be employed as the President and Chief Executive Officer of ▇▇▇▇▇. ▇▇▇▇▇ shall assume such duties as are assigned to him by the Board of Directors of ▇▇▇▇▇, and shall devote his exclusive and full-time services, energy and attention to the business of ▇▇▇▇▇. The scope of ▇▇▇▇▇'▇ duties hereunder may be modified from time to time at the discretion of the Board of Directors of ▇▇▇▇▇, provided that such modified duties shall be of the nature customarily performed by a chief executive officer in a position similar to that held by ▇▇▇▇▇. ▇▇▇▇▇ shall not be required to perform the duties required of him under this Agreement at a location more than fifty (50) miles from the current place of business of ▇▇▇▇▇ located in Sante Fe Springs, California.

Duties of ▇▇▇▇▇. During the period of his employment in the capacity of Treasurer, ▇▇▇▇▇ agrees to devote all professional skill and energy to the faithful and full satisfaction of his duties as Treasurer. It is agreed and understood that ▇▇▇▇▇ will perform all duties assigned to him, which shall be substantially the same as those performed by ▇▇▇▇▇ as Treasurer of the Company prior to the date of this Agreement (including status, offices, titles and reporting requirements), to the full satisfaction of the Board of Directors. The Company agrees that ▇▇▇▇▇ shall have such authority and discretion as is necessary to fully and faithfully perform his duties in a proper and efficient manner, subject to review by the Board of Directors. During the period of his employment, it shall not be a violation of this Agreement for ▇▇▇▇▇ to (i) serve on corporate, civil or charitable boards or committees, (ii) deliver lectures or fulfill speaking engagements and (iii) manage personal investments, so long as such activities do not significantly interfere with the performance of ▇▇▇▇▇'▇ responsibilities as an employee of the Company in accordance with this Agreement. It is expressly understood and agreed that to the extent that any such activities have been conducted by ▇▇▇▇▇ prior to the date hereof, the continued conduct of such activities (or the conduct of activities similar in nature and scope thereto) subsequent to the date hereof shall not thereafter be deemed to interfere with the performance of ▇▇▇▇▇'▇ responsibilities to the Company.

Duties of ▇▇▇▇▇. 2.1 In consideration of the payment by the Customer of the Price and subject to the terms and conditions of this Agreement, ▇▇▇▇▇ agrees: 2.1.1 to develop and deliver the graphical, technical and navigational design (“the Website Design”) as set out in the specification; 2.1.2 to create and deliver the pages of the Website containing all text, graphics, logos, photographs, images, moving images, sound, illustrations and other materials to be featured, displayed or used in or in relation to the Website ("the Web Pages") as set out in the Specification; and 2.1.3 to advise the Customer in relation to the Website Design and the production of the Web Pages; and 2.1.4 to carry out any hosting, graphic design and other work referred to in the Specification. 2.2 ▇▇▇▇▇ undertakes to carry out its obligations under Clause 2.1 in accordance with the Timetable. 2.4 ▇▇▇▇▇ shall provide the hosting service, if any. Subject to that, ▇▇▇▇▇ is not required to provide advice upon or take any action in relation to the hosting of the Website or of any website.

Duties of ▇▇▇▇▇. A. In accepting employment by UCI hereunder, ▇▇▇▇▇ shall undertake and assume the responsibility of performing for and on behalf of UCI the duties of the Executive Vice-President and Chief Financial Officer of UCI, and shall report directly to the Chief Executive Officer. Except with his written consent, ▇▇▇▇▇ shall not be assigned to (i) any position of lower professional status, or (ii) a location outside of Richland or Lexington Counties, South Carolina. ▇▇▇▇▇ shall have such duties and authority as are typical of the Chief Financial Officer and Executive Vice-President of a company such as UCI, including, without limitation, those specific in UCI's bylaws. B. During the term of this Agreement ▇▇▇▇▇ shall be a full-time employee of UCI, and shall devote his full working time and efforts to his duties hereunder. ▇▇▇▇▇ shall perform all of his duties hereunder to the best of his ability and shall not, directly or indirectly, engage or participate in any activities in conflict with the best interests of UCI, and will conduct all activities in strict loyalty to UCI.

Duties of ▇▇▇▇▇. ▇. ▇▇▇▇▇ shall employ ▇▇▇▇▇ as the Chief Operating Officer, or in such other capacity or capacities as ▇▇▇▇▇ may from time to time prescribe. The scope of ▇▇▇▇▇'▇ duties hereunder may be modified from time to time at the discretion of the Chief Executive Officer of ▇▇▇▇▇. ▇▇▇▇▇ shall devote his exclusive and full-time services, energy and attention to the business of ▇▇▇▇▇. ▇▇▇▇▇ shall not, without ▇▇▇▇▇'▇ prior written consent, render to others services of any kind for compensation, or engage in any other business activity that would materially interfere with the performance of his duties under this Agreement. ▇▇▇▇▇ represents to ▇▇▇▇▇ that he has no outstanding commitments inconsistent with any of the terms of this Agreement or the services to be rendered hereunder. B. During the employment term, ▇▇▇▇▇ shall not, directly or indirectly, whether as partner, employee, creditor, shareholder or otherwise, promote, participate or engage in any activity or other business competitive with ▇▇▇▇▇'▇ business.

Duties of ▇▇▇▇▇. ▇▇▇▇▇ agrees to perform well and faithfully the duties required by the Board from time to time, and to do so in accordance with applicable law, including but not limited to the School Code, and shall further perform such duties as set forth in the job description of the Superintendent of Schools.
