Common use of Duties Clause in Contracts

Duties. The Executive shall have the responsibilities and perform the duties normally attendant to such position, subject to the direction of the Company’s Chief Executive Officer (the “CEO”), who shall be the Executive’s immediate supervisor, and of the Company’s Board of Directors (the “Board”). The Executive shall also have such additional responsibilities and duties for the Company and its subsidiaries, consistent with his position and expertise, as may be assigned to the Executive from time to time by the CEO or the Board.

Duties. The Executive is engaged by the Company in an executive capacity as its chief legal officer. Executive shall have report to the responsibilities Chief Executive Officer regarding the performance of his duties and perform the duties normally attendant to such position, shall be subject to the direction and control of the Company’s Chief Executive Officer (the “CEO”), who shall be the Executive’s immediate supervisor, and of the Company’s Board of Directors (the “Board”). Duties. The Executive shall comply with all oral and written rules, regulations and policies of the Company.

Duties. Duties. The Executive shall also have such additional responsibilities and duties for the Company and its subsidiaries, consistent with his position and expertise, as may be assigned subject to the Executive from time policies and procedures generally applicable to time by executive employees of the CEO or the BoardCompany.

Duties. The During the Term, the Executive shall be employed by the Company as Chief Executive Officer, and, as such, the Executive shall have the such responsibilities and perform the duties normally attendant to such position, subject to the direction of the Company’s authority as are customary for a Chief Executive Officer (of a company of similar size and nature as the “CEO”), who Company and shall be faithfully perform for the Executive’s immediate supervisor, Company the duties of such office and of shall report directly to the Company’s Board of Directors (the “Board”). Duties. The Executive will serve the Company faithfully to the best of his ability and shall have the responsibilities and perform the duties normally attendant to of his office and such positionother duties of an executive, subject to the direction of the Company’s Chief Executive Officer (the “CEO”)managerial or administrative nature, who all as shall be the Executive’s immediate supervisor, specified and of the Company’s Board of Directors (the “Board”). Duties. The Executive shall have the responsibilities and perform the all duties normally attendant to such position, subject to the direction of the Company’s Chief Executive Officer (the “CEO”), who shall be the Executive’s immediate supervisor, and of the Company’s Board of Directors (the “Board”). The Executive shall also have such additional responsibilities and duties for the Company and its subsidiaries, consistent with his position and expertise, as may be reasonably assigned to the Executive him from time to time by the CEO Board, and, specifically, Executive shall be responsible for and in charge of the day-to-day operations of the Company. During the Term, Executive shall not, directly or indirectly, organize, engage in, own, manage, operate, control, be employed by or participate in the Boardownership, management, operation or control of any competitor of the Company.

Duties. The Executive shall also have such additional responsibilities and duties faithfully perform for the Company the duties of said offices and its subsidiariesshall perform such other duties of an executive, consistent with his position managerial or administrative nature as shall be specified and expertise, as may be assigned to the Executive designated from time to time by the CEO board of directors of Parent (the “Board”) or the BoardCompany’s Chief Executive Officer.

Duties. The Subject to the terms and provisions of this Agreement, Executive is hereby employed by the Company as Chief Executive Officer and President of the Company. Executive shall have full responsibility and authority for such duties as customarily are associated with service as Chief Executive Officer and President of the responsibilities and perform the duties normally attendant to such position, subject to Company at the direction of the Company’s Chief Executive Officer (the “CEO”), who shall be the Executive’s immediate supervisor, and of the Company’s Board of Directors of the Company (the “Board”). The Executive shall also have faithfully and diligently perform such additional responsibilities and duties for the Company and its subsidiaries, consistent with his position and expertise, as may be assigned to the Executive from time and shall report directly to time by the CEO or the Board.

The Executive will devote all his full working-time and attention to the performance of such duties and to the promotion of the business and interests of the Company and its subsidiaries and affiliates.
