Common use of Duty to Notify Clause in Contracts

Duty to Notify. The Receiving Party shall notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure of Confidential Information, or any other breach of the Agreement by the Receiving Party or any of its representatives, and will cooperate with the Disclosing Party in every reasonable way to help the Disclosing Party regain possession of its Confidential Information and prevent its further unauthorized use or disclosure. The Receiving Party shall be responsible for the acts of any of its representatives that are in violation of this Agreement.
