Common use of Each Party Represented by Counsel Clause in Contracts

Each Party Represented by Counsel. Each of the parties hereto --------------------------------- acknowledges that it was represented by counsel, or has had the opportunity to be represented by counsel, in connection with the negotiation, entering into and consummation of the Merger and the other transactions contemplated by this Agreement, and that such party, together with its counsel and other advisers, if any, made its own independent evaluation of the Merger and the other transactions contemplated by this Agreement without reliance on Digital, its officers, directors, employees, agents or counsel.
