Common use of Early Access Clause in Contracts

Early Access. Subtenant and Subtenant's representatives shall have the right to enter the Subleased Premises from and after the Effective Date (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "Early Access Date") for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below), all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent and Subtenant's Percentage Share of Operating Costs, but expressly including without limitation, Subtenant's obligation to carry insurance pursuant to the Master Lease, and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Subtenant and Subtenant's ’s representatives shall have the right to enter the Subleased Premises during the four (4) week period prior to the Commencement Date and from and after the Effective Consent Date (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below)’s personal property and equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's ’s obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitation, limitation Subtenant's ’s obligation to carry insurance pursuant to the Master Leaseinsurance, and Subtenant's ’s indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord and will not interfere with Sublandlord’s employees, contractors and vendors located in the Subleased Premises during such early access period, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master LeaseLease (as the same may be amended) or promulgated by Sublandlord as described herein.

Early Access. Subtenant and Subtenant's ’s representatives shall have the right to enter each Phase of the Subleased Premises from and after the Effective Date later to occur of (i) October 1, 2015, in the case of Phase 1, and January 1, 2017, in the case of Phase 2 (or such earlier date as Sublandlord may make either Phase of the Subleased Premises available for entry by Subtenant), and (ii) the Consent Date, so long as and on the condition that prior to such entry Subtenant shall have delivered to Sublandlord (A) the pre-paid Monthly Rent required pursuant to Section 3.3 below, (B) the Security required pursuant to Section 4 below, and (C) evidence of Subtenant’s procurement of all insurance coverage required hereunder (the date upon which Subtenant first has such access to each Phase of the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below)’s personal property and equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease with respect to each Phase of the Subleased Premises (other than Subtenant's ’s obligation to pay Base Monthly Rent and Subtenant's Percentage Share of Operating Costswith respect to such Phase, but expressly including including, without limitation, Subtenant's ’s obligation to pay utility charges and Tenant’s Allocable Share of Reimbursable Operating Costs. Subtenant’s obligation to carry insurance pursuant to the Master Leaseinsurance, and Subtenant's ’s indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy Date for such Phase of the Subleased Premises from and after the Early Access DatePremises. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall reasonably coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Subtenant and Subtenant's ’s representatives shall have the right to enter the Subleased Premises from and after the Effective later to occur of (i) the Consent Date and (ii) the date upon which Subtenant delivers to Sublandlord (A) the pre-paid Base Rent required pursuant to Section 3.1(a) below, (B) the Letter of Credit (as defined below), and (C) evidence of Subtenant’s procurement of all insurance coverage required hereunder (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of occupancy and installation of Subtenant's initial the Initial Subtenant Improvements (as defined in Section 16.2 below), signage, equipment, furniture, fixtures, voice and data cabling, and other personal property, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's ’s obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitation, limitation Subtenant's ’s obligation to pay excess utility charges, carry insurance pursuant to the Master Leaseinsurance, and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. All of the rights and obligations of the parties under this Sublease (other than Subtenant's ’s obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsMonthly Rent, but expressly including including, without limitation, Subtenant's ’s obligation to pay the items of Additional Rent provided for in Section 3.4(b) that accrue from and after the Early Access Date, Subtenant’s obligation to carry insurance pursuant to the Master Leaseinsurance, and Subtenant's ’s indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall reasonably coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Subtenant and Subtenant's ’s representatives shall have the right to enter the Subleased Premises from and after the Effective Date later to occur of (i) October 1, 2017 (or such earlier date as Sublandlord may make the Subleased Premises available for entry by Subtenant), and (ii) the Consent Date, so long as and on the condition that prior to such entry Subtenant shall have delivered to Sublandlord (A) the pre-paid Monthly Rent required pursuant to Section 3.3 below, (B) the Security required pursuant to Section 4 below, and (C) evidence of Subtenant’s procurement of all insurance coverage required hereunder (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below)’s personal property and equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's ’s obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsMonthly Rent, but expressly including including, without limitation, Subtenant's ’s obligation to pay utility charges and Tenant’s Allocable Share of Reimbursable Operating Costs, Subtenant’s obligation to carry insurance pursuant to the Master Leaseinsurance, and Subtenant's ’s indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall reasonably coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Additionally, Subtenant and Subtenant's ’s representatives shall have the right to enter the Subleased Premises from and after the Effective later to occur of (i) the Consent Date, (ii) the date upon which Subtenant delivers to Landlord (A) the pre-paid Base Rent required pursuant to Section 3.1(a) below, (B) the Letter of Credit and (C) evidence of Subtenant’s procurement of all insurance coverage required hereunder and (iii) the date that is ten (10) days prior to the Commencement Date (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below)’s personal property and equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's ’s obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitation, limitation Subtenant's ’s obligation to pay excess utility charges, carry insurance pursuant to the Master Leaseinsurance, and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease (to the extent incorporated herein) and the rules and regulations attached to the Master Lease.

Early Access. Subtenant and Subtenant's ’s representatives shall have the right to enter the Subleased Premises from and after the Effective Date (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "“Early Access Date"”) for the sole purposes of installation of Subtenant's initial constructing Subtenant Improvements (defined in Section 16.2 14.2 below), installation of Subtenant’s personal property and the testing of equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitationlimitation Subtenant’s obligation to pay excess utility charges pursuant to the Master Lease, Subtenant's ’s obligation to carry insurance pursuant to the Master Lease, and Subtenant's ’s indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's ’s part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's ’s activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, hereunder and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Notwithstanding anything herein to the contrary, Subtenant and Subtenant's representatives shall have the right to enter access the Subleased Premises from and after February 15, 2019 (“Subtenant’s Early Access”); provided that each of the Effective Date following have occurred: (a) Subtenant shall have delivered to Sublandlord certificates evidencing that the date upon which insurance coverages that Subtenant first has such access is obligated to carry pursuant to the Subleased Premises being referred Master Lease and this Sublease have been procured and are in full force and effect, (b) the Master Landlord shall have consented to herein as this Sublease and Subtenant’s Early Access, and (c) Sublandlord shall have received the "executed Guaranty. Subtenant’s Early Access Date") shall be on all of the terms set forth in this Sublease, except for the sole purposes of installation of Subtenant's initial Subtenant Improvements (defined in Section 16.2 below), all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitationwhich shall commence on the Commencement Date, Subtenant's obligation to carry insurance pursuant subject to the Master Lease, other and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms further provisions of this Sublease) . Subtenant’s Early Access shall be for the sole purpose of preparing the Premises for occupancy, and if Subtenant shall commence upon business operations in the Early Access Date, and Subtenant Premises then the Commencement Date shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for have automatically occurred notwithstanding any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions other provision of this Sublease, . Subtenant’s Early Access shall be subject to Sublandlord’s access and safety controls and shall not interfere with any decommissioning activities in the Master Lease and the rules and regulations attached to the Master LeasePremises.

Early Access. Subtenant and Subtenant's representatives shall have the right to enter the Subleased Premises during all Building Hours from and after the Effective later to occur of (i) August 1, 2014, (ii) the Consent Date and (iii) the date upon which Subtenant delivers to Landlord (A) the pre-paid Base Rent required pursuant to Section 3.l (a) below, (B) the Security Deposit and (C) evidence of Subtenant's procurement of all insurance coverage required hereunder (the date upon which Subtenant first has such access to the Subleased Premises being referred to herein as the "Early Access Date") for the sole purposes of installation of constructing Subtenant's initial Subtenant Improvements (defined in Section 16.2 below)improvements and installing Subtenant's personal property and equipment, furniture, fixtures and voice and data cabling, all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitation, limitation Subtenant's obligation to pay excess utility charges, carry insurance pursuant to the Master Leaseinsurance, and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Notwithstanding anything herein to the contrary, Subtenant and Subtenant's representatives shall have the right to enter access the Subleased Sublease Premises from and after fourteen (14) days prior to the Effective Commencement Date (“Subtenant’s Early Access”); provided that each of the date upon following have occurred: (a) Subtenant shall have satisfied the Insurance Requirement, and (b) the Master Landlord shall have consented to this Sublease and Subtenant’s Early Access. Subtenant’s Early Access shall be on all of the terms set forth in this Sublease, except for the obligation to pay Sublease Rent, which Subtenant first has such access shall commence on the Commencement Date, subject to the Subleased Premises being referred to herein as the "other and further provisions of this Sublease. Subtenant’s Early Access Date") shall be for the sole purposes purpose of installation of Subtenant's initial Subtenant Improvements installing Lines (defined in accordance with Section 16.2 8.1(r) below), all subject to the terms, conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent ) and Subtenant's Percentage Share of Operating Costs’s furniture, but expressly including without limitation, Subtenant's obligation to carry insurance pursuant to the Master Leasefixtures and equipment, and Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by if Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant regular conduct of business operations in the Sublease Premises then the Commencement Date shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for have automatically occurred notwithstanding any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions other provision of this Sublease, . Subtenant’s Early Access shall be subject to Sublandlord’s access and safety controls and shall not interfere with any decommissioning activities in the Master Lease and the rules and regulations attached to the Master LeaseSublease Premises.

All of the rights and obligations of the parties under this Sublease (other than Subtenant's obligation to pay Base Rent and Subtenant's Percentage Share of Operating CostsRent, but expressly including without limitationlimitation Subtenant's obligation to pay excess utility charges pursuant to the Master Lease, Subtenant's obligation to carry insurance pursuant to the Master Lease, and Subtenant's indemnification obligations, obligations and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, hereunder and shall provide certificates of such insurance to Sublandlord. Subtenant shall coordinate such entry with Sublandlord, and such entry shall be made in compliance with all terms and conditions of this Sublease, the Master Lease and the rules and regulations attached to the Master Lease.

Early Access. Sublandlord agrees to cooperate with Subtenant and Subtenant's representatives shall have the right to enter the Subleased Premises from and after the Effective Date (the date upon which allow Subtenant first has such access to the Subleased Initial Premises being referred from the day following the Consent Date to herein as the "Delivery Date and deliver exclusive possession of the Initial Premises, including the Data Room (but excluding the Lab Space), on the Delivery Date, for design and construction purposes and for the purposes of the installation of furniture, fixtures and equipment and preparing the Initial Premises for occupancy (the “Early Access Date"Activities”), provided that Subtenant has first given Sublandlord at least one (1) business day’s prior notice of any such access (for access prior to the Delivery Date only) and has first delivered to Sublandlord a certificate of insurance evidencing compliance with the insurance obligations herein. Such access (a) shall be solely for the sole Early Access Activities and not for the purposes of installation occupancy or possession of Subtenant's initial Subtenant Improvements the Initial Premises, or of conducting business therein, and (defined in Section 16.2 below), all b) shall be subject to and upon all the terms, terms and conditions and requirements of the Master Lease. All of the rights and obligations of the parties under this Sublease (other than Subtenant's including without limitation Section 11 hereof), except that Subtenant shall have no obligation to pay Base Rent and Subtenant's Percentage Share of Operating Costs, but expressly including without limitation, Subtenant's obligation to carry insurance pursuant or Additional Rent for the period prior to the Master LeaseInitial Premises Commencement Date; provided, and however, that if Subtenant's indemnification obligations, and/or liability for damages, reasonable costs and expenses incurred by Sublandlord by reason ’s pursuit of any default by Subtenant or failure on Subtenant's part to comply with the terms of this Sublease) shall commence upon the Early Access Date, and Subtenant shall be deemed to occupy Activities causes an increase of more than ten percent (10%) in the Subleased Premises from and after the Early Access Date. Subtenant shall be liable for any damages to the Subleased Premises caused by Subtenant's activities at the Subleased Premises from and after the Early Access Date and, prior to entering the Subleased Premises, Subtenant shall obtain all insurance it is required to obtain hereunder, and shall provide certificates cost of such insurance to Sublandlord.
