Effect of Changes in Control. Notwithstanding the terms of Section 3.1, in the event that a Change in Control occurs prior to the three-year anniversary of the Grant Date, any then-unvested RSUs will accelerate and vest upon such Change in Control, subject to the Participant’s continued Service through the consummation of such Change in Control (a “Change in Control Acceleration Event”).
