Common use of Effect of Investigation Clause in Contracts

Effect of Investigation. The right to indemnification or other remedy based on the representations, warranties, covenants and agreements contained herein will not be affected by any investigation conducted with respect to, or any knowledge acquired (or capable of being acquired) at any time, whether before or after the execution and delivery of this Agreement or the Closing Date, with respect to the accuracy or inaccuracy of or compliance with, any such representation, warranty, covenant or agreement.

Effect of Investigation. The right to indemnification indemnification, payment, reimbursement or other remedy based on the representationsupon any representation, warrantieswarranty, covenants and agreements contained herein covenant or obligation will not be affected by any investigation conducted with respect to, or any knowledge acquired (or capable of being acquired) at any time, whether before or after the execution and delivery of this Agreement or the Closing Date, with respect to the accuracy or inaccuracy of of, or compliance with, any such representation, warranty, covenant or agreementobligation.

The Acquiror’s right to indemnification or other remedy based on the representations, warranties, covenants and agreements of Contributors contained herein will not be affected by any investigation conducted by Acquiror with respect to, or any knowledge acquired (or capable of being acquired) by Acquiror at any time, whether before or after the execution and delivery of this Agreement or the Closing Date, with respect to the accuracy or inaccuracy of or compliance with, any such representation, warranty, covenant or agreement.

The right to indemnification indemnification, payment of any Damages or other remedy under this Agreement based on a breach of any of the representations, warranties, covenants and agreements contained herein in this Agreement will not be affected by any investigation conducted with respect toconducted, or any knowledge acquired (or capable of being acquired) at any time, whether before or after the execution and delivery of this Agreement or the Closing DateClosing, with respect to the accuracy or inaccuracy of or compliance with, any such representation, warranty, covenant covenant, or agreement.
