Common use of Effect of Other Proceedings Clause in Contracts

Effect of Other Proceedings. The termination of any Proceeding or of any claim, issue or matter therein, by judgment, order, settlement or conviction, or upon a plea of nolo contendere or its equivalent, shall not (except as otherwise expressly provided in this Agreement) of itself adversely affect the right of Indemnitee to indemnification or create a presumption that Indemnitee did not act in Good Faith.

Effect of Other Proceedings. The termination of any Proceeding action, suit or of any claim, issue or matter therein, proceeding by judgment, order, settlement or settlement, conviction, or upon a plea of nolo contendere or its equivalent, shall not (except as otherwise expressly provided in this Agreement) of itself adversely affect be conclusive as to the right of Indemnitee to indemnification or create a presumption that Indemnitee did not act in Good Faith.

Effect of Other Proceedings. The termination of any Proceeding or of any claim, issue or matter therein, by judgment, order, settlement or conviction, or upon a plea of guilty or of nolo contendere or its equivalent, shall not (except as otherwise expressly provided in this Agreement) of itself adversely affect the right of Indemnitee to indemnification or create a presumption that Indemnitee did not act in Good Faith.

Effect of Other Proceedings. The termination of any Proceeding Proceeding, or of any claim, issue or matter therein, by judgment, order, settlement or conviction, or upon a plea of nolo contendere or its equivalent, shall not (except as otherwise expressly provided in this Agreement) not, of itself itself, adversely affect the right of Indemnitee to indemnification or create a presumption that Indemnitee did not act in Good Faithof any kind against Indemnitee.

Effect of Other Proceedings. The termination of any Proceeding or of any claim, issue or matter therein, by judgment, order, order or settlement or conviction, or upon a plea of nolo contendere or its equivalent, equivalent shall not (except as otherwise expressly provided in this Agreement) of itself adversely affect the right of an Indemnitee to indemnification or create a presumption that such Indemnitee did not act acted in Good FaithBad Faith but may be considered along with any other admissible evidence.
