Effect of Payment of Purchase Price. Upon the payment of the Purchase Price for any Purchase (whether through a capital contribution or a Subordinated Loan or otherwise), title to the Receivables and to the other related Purchased Assets subject to such Purchase shall vest in the Buyer, whether or not the conditions precedent to such Purchase were in fact satisfied; provided, however, that if one or more conditions precedent to such -------- ------- Purchase was in fact not satisfied, the Buyer shall not be deemed to have waived any claim it may have under this Agreement for the failure by the Originator in fact to satisfy any such condition precedent.
