Effect of Payment of Purchase Price. Upon the payment of the Purchase Price for any purchase of Assigned Receivables and Related Rights, absolute title to such Assigned Receivables and Related Rights shall vest in the Buyer, whether or not the conditions precedent to such purchase were in fact satisfied; provided that the Buyer shall not be deemed to have waived any claim it may have under this Agreement for the failure by Indian Industries in fact to satisfy any such condition precedent unless the underlying Assigned Receivable has been repurchased from the Buyer by the Seller.
