Common use of Effect of Sale, Conveyance or Assignment Clause in Contracts

Effect of Sale, Conveyance or Assignment. If ▇▇▇▇▇▇▇▇ has provided to Tenant an assumption agreement whereby ▇▇▇▇▇▇▇▇’s successor-in- interest assumes Landlord’s obligations under this Lease, a sale, transfer or assignment of the Lands or the title thereto or any interest therein shall operate to release Landlord from liability under this Lease (save and except for the indemnity provision contained in Section 6.05(b) herein) from and after the effective date of such assumption agreement, and Tenant shall thereafter look solely to ▇▇▇▇▇▇▇▇’s successor in interest. The obligations of Tenant under this Lease shall not be affected by any such sale, transfer or assignment, and Tenant shall attorn to Landlord’s successor in interest provided such ▇▇▇▇▇▇▇▇’s successor in interest executes the aforementioned assumption agreement.
