Effecting the Amalgamation. Subject to the rights of termination contained in Article 8, and the other conditions contained in Article 7 being complied with or waived, NumberCo and SmartWerx shall file with the Registrar the Amalgamation Application and deliver such other documents as may be required in order to effect the Amalgamation as soon as practicable after NumberCo obtains the NumberCo Shareholder Approval and FintechWerx approves the SmartWerx Resolution.
