Common use of Effecting the Amalgamation Clause in Contracts

Effecting the Amalgamation. Subject to the rights of termination contained in Article 6, upon the AltMed Shareholder Approval and the NewCo Shareholder Approval being obtained and the other conditions contained in Article 5 being complied with or waived, AltMed and Newco shall file with the Registrar the Amalgamation Application and such other documents as may be required in order to effect the Amalgamation.
