Common use of Effective Date and Confirmation Clause in Contracts

Effective Date and Confirmation. (a) This Agreement is effective and in full force and effect in accordance with its terms from and after the date hereof and shall expire and be of no further force and effect from and after the earlier of (i) the Termination Time, and (ii) the time at which the annual meeting of holders of Voting Shares held in 2019 terminates (the “Expiration Time”) (b) Notwithstanding Subsection 5.15(a), at the first annual or special meeting of holders of Voting Shares following the date hereof, the Company shall request confirmation of this Agreement by the holders of its Voting Shares. If this Agreement is not confirmed by resolution passed by a majority of the votes cast by holders of Voting Shares of the Company who vote in respect of confirmation of this Agreement at a meeting of the Company's shareholders to be held on or prior to July 21, 2016, then this Agreement and all outstanding Rights shall terminate and be void and of no further force and effect on and from that date.
