Common use of Effective Date; Closing Clause in Contracts

Effective Date; Closing. The effective date (for accounting purposes only) of the transactions contemplated hereby shall be at 7:00 a.m., Alaska Standard Time, on January 1, 2007 (the "Effective Date"). The Closing of the transactions contemplated hereby (the "Closing") shall take place at the offices of Seller, ▇▇▇ ▇▇▇▇▇▇▇▇▇▇▇ ▇▇., ▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇ at 10:00 a.m., Mountain Standard Time, on the later of (i) two business days after satisfaction of all conditions to Closing (including agreement of the Parties on all Purchase Price adjustments pursuant to Section 3.4), or June 30, 2007 (the "Closing Date"). Notwithstanding any provision herein to the contrary, in no event shall the Closing occur later than July 31, 2007.
