Effective Date of Demerger. The effective date for the Demerger shall be the Closing Date (as defined below). If circumstances result in the Closing Date not falling on October 27, 2014, Transferor and Transferee shall make such amendments to the Demerger Agreement as necessary to amend the effective date such that it falls on the same date as the Closing Date.
