Common use of Effective Date of this Agreement and Termination Clause in Contracts

Effective Date of this Agreement and Termination. (a) This Agreement shall become effective when signed by the Company and the Agent. (b) This Agreement may be terminated by the Agent by notice to the Company, in the event that, prior to the First Closing Date, the Company shall have failed to a material degree to comply with any of the provisions hereof on its part to be performed on or prior to such date or if to a material degree any of the conditions, agreements, representations or warranties herein contained shall not have been fulfilled within the respective times herein provided for, without any obligation of any party to any other party, except as may otherwise be provided herein.
