Common use of Effective Date; Revocation Clause in Contracts

Effective Date; Revocation. The Employee acknowledges and represents that the Employee has been given at least forty-five (45) days during which to review and consider the provisions of this Release Agreement and, specifically, the General Release set forth in Paragraph 2 above, although the Employee may sign and return it sooner if the Employee so desires. The Employee further acknowledges and represents that the Employee has been advised by the Company that the Employee has the right to revoke this Release Agreement for a period of seven (7) days after signing it. The Employee acknowledges and agrees that, if the Employee wishes to revoke this Release Agreement, the Employee must do so in a writing, signed by the Employee and received by the Company no later than 5:00 p.m. Eastern Time on the seventh (7th) day of the revocation period. If no such revocation occurs, the General Release and this Release Agreement shall become effective on the eighth (8th) day following Employee’s execution of this Release Agreement (the “Release Effective Date”). The Employee further acknowledges and agrees that, in the event that the Employee revokes this Release Agreement, it shall have no force or effect, and the Employee shall have no right to receive any of the payments or benefits pursuant to Sections 1.3 or 1.4 of the Severance Agreement.

The Employee Executive further acknowledges and represents that the Employee she has been advised by the Company that the Employee she has the right to revoke this Release Agreement for a period of seven (7) days after signing it. The Employee Executive acknowledges and agrees that, if the Employee she wishes to revoke this Release Agreement, the Employee she must do so in a writing, signed by the Employee her and received by the Company no later than 5:00 p.m. Eastern Time local time on the seventh (7th) day of the revocation period. If the last day of the revocation period falls on a Saturday, Sunday or holiday, the last day of the revocation period will be deemed to be the next business day. If no such revocation occurs, the General Release and this Release Agreement shall become effective on the eighth (8th) day following Employee’s her execution of this Release Agreement (the “"Release Effective Date”"). The Employee Executive further acknowledges and agrees that, in the event that the Employee she revokes this Release Agreement, it shall have no force or effect, and the Employee she shall have no right to receive any of the payments or benefits pursuant to Sections 1.3 or 1.4 Section 5(c) of the Severance Employment Agreement.
