Common use of EFFECTIVE DATE; TERM OF AGREEMENT Clause in Contracts

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 4, 2018 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between the Company and Executive dated January 30, 2015 (the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30, 2021 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3January 31, 20182015. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 3, 2021 2018 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between the Company and the Executive dated January 30as of September 8, 2015 2006 (as amended, the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2013 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.,” it being understood that nothing in this Agreement shall be construed as entitling Executive to continuation of his employment beyond the End Date and that any such continuation shall be subject to the agreement of the parties. This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 3028, 2021 2012 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.,” it being understood that nothing in this Agreement shall be construed as entitling Executive to continuation of his employment beyond the End Date and that any such continuation shall be subject to the agreement of the parties. This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 43, 2018 2019 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Amended and Restated Employment Agreement between the Company and Executive dated January 3029, 2015 2016, as amended by the Severance Plan (the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect; provided, except that execution of this Agreement shall constitutethat, for purposes of the first sentence of Section 5(b) of the Prior Agreement, the parties hereto acknowledge that execution of this Agreement shall constitute a mutual agreement by the parties to continue Executive’s employment beyond February 32, 20182019. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 3029, 2021 2022 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2013 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.,” it being understood that nothing in this Agreement shall be construed as entitling Executive to continuation of his employment beyond the End Date and that any such continuation shall be subject to the agreement of the parties. Executive’s previous employment with the Company shall count as part of his continuous employment, which therefore began on November 15, 1993. This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 4January 31, 2018 2016 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between the Company and Executive dated January 30, 2015 (the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, constitute a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018through the Effective Date. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2019 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement Agreement, which supersedes by amendment and restatement the employment agreement dated October 5, 2015 between Executive and the Company, shall become effective on February 4January 31, 2018 2016 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between the Company and Executive dated January 30, 2015 (the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect; provided, except that the parties hereto acknowledge that execution of the October 5, 2015 agreement constituted and execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, constitute a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018through the Effective Date. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2019 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3January 29, 20182011. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2013 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30February 2, 2021 2019 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 4as of January 29, 2018 2012 (the “Effective Date”). Upon effectiveness of this Agreement on On the date prior to the Effective Date, the Employment letter agreements between the Company and the Executive dated June 2, 2009 and March 8, 2010 and the Confidentiality, Non-Solicitation and Non-Competition Agreement between the Company and Executive dated January 30May 3, 2015 2010 (together, the “Prior AgreementAgreements”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement Agreements shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 3031, 2021 2015 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 4, 2018 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between NBC Attire, Inc., a subsidiary of the Company Company, and Executive dated as of January 30, 2015 (the “Prior Agreement”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) 2 of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30, 2021 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 30, 2021 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

EFFECTIVE DATE; TERM OF AGREEMENT. This Agreement shall become effective on February 42, 2018 2014 (the “Effective Date”). Upon effectiveness of this Agreement on the Effective Date, the Employment Agreement between the Company and Executive dated as of January 3028, 2015 2011 (originally between Parent and Executive and assigned to the Company by letter agreement dated January 10, 2012) and the letter agreement between Executive, Parent and the Company dated January 10, 2012 (collectively, the “Prior AgreementAgreements”) shall terminate and be of no further force and effect. Prior to the Effective Date, the Prior Agreement Agreements shall remain in full force and effect, except that execution of this Agreement shall constitute, for purposes of the first sentence of Section 5(b) of the Prior Agreement, a mutual agreement by the parties to continue Executive’s employment beyond February 3, 2018. Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 3028, 2021 2017 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.

Subject to earlier termination as provided herein, Executive’s employment hereunder shall continue on the terms provided herein until January 3031, 2021 2015 (the “End Date”). The period of Executive’s employment by the Company from and after the Effective Date, whether under this Agreement or otherwise, is referred to in this Agreement as the “Employment Period.” This Agreement is intended to comply with the applicable requirements of Section 409A and shall be construed accordingly.
