Common use of Effective Registration Clause in Contracts

Effective Registration. A registration will not count as a Demand Registration until the registration statement filed with the Commission with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, that if, after such registration statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission or any other governmental agency or court, the registration statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-interest of the Demanding Holders thereafter elect to continue the offering.

A registration will not count as a Demand Registration until the registration statement Registration Statement filed with the Commission with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, however that if, after such registration statement Registration Statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission or any other governmental agency or court, the registration statement Registration Statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-interest of the Demanding Holders Stockholders included in such Demand Registration thereafter elect to continue the offering.

A registration will not count as a Demand Registration until the registration statement filed with the Commission with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, that if, after such registration statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission or any other governmental agency or court, the registration statement with respect to such Demand Registration will be deemed not to have been declared effective, effective unless and until, until (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-interest of the Demanding Holders thereafter elect to continue the offering.

A registration will not count as a Demand Registration until the registration statement filed with the Commission SEC with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement Purchase Option with respect thereto; provided, however, that if, after such registration statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission SEC or any other governmental agency or court, the registration statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, until (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-interest of the Demanding Holders thereafter elect to continue the offering.

A registration will not count as a Demand Registration until the registration statement is filed with the Commission SEC with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, that if, after such registration statement has been declared effective, the offering of Registrable Securities Shares pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission SEC or any other governmental agency or court, the registration statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-interest of the Demanding Holders Purchaser thereafter elect elects to continue the offering.

Effective Registration. A registration will not count as a Demand Registration until the registration statement Registration Statement filed with the Commission with respect to such Demand Registration has been declared effective and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, that if, after such registration statement Registration Statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission or any other governmental agency or court, the registration statement Registration Statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) a majority-in-majority in interest of the Demanding Holders thereafter elect elects to continue the offering.

A registration will not count as a Demand Registration until the registration statement filed with the Commission with respect to such Demand Registration has been declared effective or qualified and the Company has complied with all of its obligations under this Agreement with respect thereto; provided, however, that if, after such registration statement has been declared effective, the offering of Registrable Securities pursuant to a Demand Registration is interfered with by any stop order or injunction of the Commission or any other governmental agency or court, the registration statement with respect to such Demand Registration will be deemed not to have been declared effective, unless and until, until (i) such stop order or injunction is removed, rescinded or otherwise terminated, terminated and (ii) a majority-in-interest of the Demanding Holders thereafter elect to continue the offering.

Effective Registration. A registration will not count as a Demand Registration until the registration statement filed with the Commission it has become effective (except with respect to any Requesting Holder that withdraws all of its Registrable Securities for such Demand Registration has been declared effective registration and the Company has complied with all of performed its obligations under this Agreement hereunder in all material respects, in which case such demand will count as a Demand Registration on behalf of that Requesting Holder unless the Requesting Holder pays all reasonable expenses actually incurred by the Company in connection with respect theretosuch withdrawn registration); provided, however, that if, after such registration statement it has been declared become effective, the an offering of Registrable Securities pursuant to a Demand Registration registration statement is interfered with terminated by any stop order, injunction, or other order or injunction of the Commission or any other governmental agency or court, the such registration statement with respect to such Demand Registration pursuant thereto will be deemed not to have been declared effective, unless effected and until, (i) such stop order or injunction is removed, rescinded or otherwise terminated, and (ii) will not count as a majority-in-interest of the Demanding Holders thereafter elect to continue the offeringDemand Registration.
