Common use of Effective Time of Merger Clause in Contracts

Effective Time of Merger. The Merger shall become effective at the time of filing of a certificate of merger (hereinafter referred to as the "Certificate of Merger") in the office of the Secretary of the State of Delaware, as required by the Act, in such form as shall be approved by the parties giving effect to the provisions of this Agreement. Such time is herein referred to as the "Effective Time".

Effective Time of Merger. The Merger shall become effective at upon the time later of (a) the filing of a certificate of merger (hereinafter referred to as the "Certificate of Merger") in the office of with the Secretary of State of the State of Delaware, as required by Delaware of a Certificate of Merger executed in accordance with the Act, in such form as shall be approved by the parties giving effect to the relevant provisions of this Agreement.
