Common use of Effectiveness and Binding Effect Clause in Contracts

Effectiveness and Binding Effect. This Agreement shall become effective upon the execution and delivery of counterparts by the Managing Member, the Company and the Original Members, and shall thereafter be binding upon and inure to the benefit of the Managing Member, the Company and the Unitholders and their respective successors, assigns, heirs, executors, administrators and legal representatives.

Effectiveness and Binding Effect. This Agreement shall become effective upon the execution and delivery of counterparts by the Managing Member, the Company and the Original Members, and shall thereafter be binding upon and inure to the benefit of the Managing MemberCompany, the Company Operating Partnership and all Unitholders who sign and deliver counterparts of this Agreement. Subject to the Unitholders foregoing, this Agreement shall be binding upon and inure to the benefits of all parties and their respective successors, assigns, heirs, executors, administrators and legal representatives.
