Common use of Effectiveness of Amendment Clause in Contracts

Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) the execution and delivery to the Administrative Agent of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit Agreement, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this Amendment.

Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) as of the execution and delivery to date the Administrative Agent shall have received counterparts of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of this Amendment duly executed by the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit Agreement, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this AmendmentLenders.

Effectiveness of Amendment. This Amendment shall become effective upon ----------------------------as of the date: (ia) the execution and delivery to the Administrative Agent shall have received counterparts of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of this Amendment duly executed by the Borrower and those Lenders constituting each Lender; and (b) the Required Lenders for purposes of the Credit Agreement, Administrative Agent and (ii) payment each Lender shall have received all fees due and payable by the Borrower of all costs and expenses of on or prior to the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution effectiveness of this AmendmentAmendment in connection herewith.

Effectiveness of Amendment. Effectiveness of Amendment. Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) as of the execution and delivery to date first written above so long as the Administrative Agent has received (a) counterparts of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf this Amendment duly executed by the Company and each of the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit Agreementand (b) all fees required to be paid, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent for which invoices have been presented (including the reasonable fees and expenses of its legal counsel) incurred in respect of the preparation and execution of this Amendment).

Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) the execution and delivery to receipt by the Administrative Agent of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of this Amendment duly executed by each of the Borrower Borrower, the Administrative Agent and those Lenders constituting the Required Lenders for purposes of the Credit AgreementLenders, and (ii) payment the receipt by the Administrative Agent from the Borrower of all costs and out-of-pocket expenses of incurred by the Administrative Agent (including reasonable fees and expenses of its counsel) incurred Agents in respect of the preparation and execution of connection with this Amendment, including the fees, charges and disbursements of counsel.

Effectiveness of Amendment. This Amendment shall become effective as of the date first written above upon ----------------------------the satisfaction of the following conditions: (ia) the execution Administrative Agent shall have received counterparts of this Amendment duly executed by the Borrowers, the Administrative Agent and delivery the Required Lenders; and (b) the Administrative Agent shall have received all fees and all reasonable out-of-pocket expenses (including reasonable fees, charges and disbursements of counsel) required to be paid by the Parent Borrower to the Administrative Agent of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of the Borrower and those Lenders constituting the Required Lenders for purposes under Section 10.03 of the Credit Agreement, and (ii) payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this Amendment.

Effectiveness of Amendment. This Amendment shall become be effective upon ---------------------------- (ia) receipt by the execution and delivery to the Administrative Agent of counterparts hereof an executed copy of this Amendment, (whether originals or facsimile transmissions thereofb) on behalf receipt by the Agent of a certified copy of a resolution of the Board of Directors of the Borrower authorizing the execution, delivery and those Lenders constituting the Required Lenders for purposes performance of the Credit Agreementthis Amendment, and (iic) payment receipt by the Borrower Banks of all costs and expenses of fees due from the Administrative Agent (including reasonable fees and expenses of its counsel) incurred in respect of the preparation and execution of this AmendmentBorrower.

Effectiveness of Amendment. This The amendments in this Amendment shall become effective upon ----------------------------delivery by the Borrower of, and compliance by the Borrower with, the following: (i) 3.1. Effectiveness of Amendment. This Amendment shall become effective upon ---------------------------- (i) the execution and delivery to the Administrative Agent receiving counterparts of counterparts hereof (whether originals or facsimile transmissions thereof) on behalf of this Amendment executed by the Borrower and those Lenders constituting the Required Lenders for purposes of the Credit AgreementMajority Banks, and (ii) the payment by the Borrower of all costs and expenses of the Administrative Agent (including reasonable legal fees and expenses of its counselassociated with the Amendment and (iii) incurred in respect the consummation of the preparation and execution of this AmendmentJoint Venture under the Goodyear Agreement on or before December 31, 2000.
