Effectiveness of Merger. Articles of Merger substantially in the form set forth in Exhibit 1.2 hereto shall be delivered on the Closing Date (as hereinafter defined) to the Secretary of State of Florida for filing in accordance with the Applicable Statutes. The Merger shall become effective upon the acceptance of such filing by the Secretary of State of Florida, which shall be the "Effective Time of the Merger."
