Effectiveness of Release. As of the Effective Time, each of the Contractual Transfer Restrictions and the Proxy Restrictions shall have been irrevocably terminated, waived, and/or otherwise rendered inapplicable with respect to the Opportunity Shares, and no further act or action shall be required to be taken in order to effect the Release.
