Common use of Effects of This Transaction Clause in Contracts

Effects of This Transaction. Neither the execution or delivery of this Agreement nor the performance of this Agreement and the consummation of the transactions contemplated hereby will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare, (i) a loss of, or Encumbrance or restriction on, any of Seller’s Intellectual Property or any license to Intellectual Property held by Seller; (ii) a breach of any license agreement; (iii) the release or delivery of any of Seller’s Intellectual Property to any other Person; or (iv) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any of Seller’s Intellectual Property.

Effects of This Transaction. Neither the execution execution, delivery, or delivery performance of this Agreement nor the performance consummation of this Agreement and the consummation any of the transactions contemplated hereby by this Agreement will, with or without notice or lapse of time, result in, or give any other Person the right or option to cause or declare, (ia) a loss of, or Encumbrance or restriction Lien on, any BU Intellectual Property or Registered Intellectual Property; (b) a breach of Seller’s or default under any BU Intellectual Property or any license to Registered Intellectual Property held by SellerProperty; (ii) a breach of any license agreement; (iiic) the release release, disclosure, or delivery of any of Seller’s BU Intellectual Property by or to any escrow agent or other Person; or (ivd) the grant, assignment, or transfer to any other Person of any license or other right or interest under, to, or in any of Seller’s the BU Intellectual Property or Registered Intellectual Property.
