Effects of Updates. In the event that such updates to the Schedules set forth any items or changes which would, in the good faith reasonable discretion of the Purchaser, cause the Company or the Purchaser to suffer or incur a liability, net of any offsetting benefit to the Company or the Purchaser (which was not previously disclosed to the Purchaser) (a "New Liability"), the parties will agree on the value of such New Liability as set forth in clause (c) below.
