ELECTRONIC DOCUMENTS AND ELECTRONIC SIGNITURES. 22.1 This Agreement, associated Service Order[s] and related documents may be executed and accepted in electronic form by an electronic or digital signature, or by other means that clearly demonstrate assent and identify the person Who signs the document/ express acceptance of its terms and such agreed documents shall be deemed binding betWeen the parties. 22.2 Each Party acknoWledges and agrees that it Will not contest that validity or enforceability of this Agreement and associated Service Order[s] and related documents, including under any applicable statute of frauds as a result of them being sent, accepted and/or signed in electronic form. 22.3 Each Party further acknoWledges and agrees that it Will not contest the validity or enforceability of executed scanned copies of this Agreement or associated Service Order[s] or related documents on the basis that such copies lack an original handWritten signature. 22.4 Any statement or data in electronic from Which is attached to or logically associated With other electronic statements or data regarding the sender of an email or the name. initials of a person placed under an electronic message shall, betWeen the Parties, be deemed to constitute an electronic signature. 22.5 Electronic signatures and signatures on scanned copies of documents exchanged by email betWeen the Parties shall be considered valid signatures as of the date therein. 22.6 Statement and documents in electronic form that alloW unaltered reproduction of a hard copy shall have the same validity as Written statements and documents. 22.7 Electronic and computer-maintained records of a Party When produced in hard copy form shall constitute business records and shall have the same validity as any other generally recognised business records.

  • Electronic Signatures and Electronic Records The Parties consent to the use of electronic signatures. The Agreement, and any other documents requiring a signature hereunder, may be signed electronically by the Parties in the manner specified by any applicable City regulation, rule, and/or ordinance. The Parties agree not to deny the legal effect or enforceability of the Agreement solely because it is in electronic form or because an electronic record was used in its formation. The Parties agree not to object to the admissibility of the Agreement in the form of an electronic record, or a paper copy of an electronic document, or a paper copy of a document bearing an electronic signature, on the ground that it is an electronic record or electronic signature or that it is not in its original form or is not an original.

  • Counterparts and Electronic Signatures This Settlement Agreement may be executed in counterparts. Electronic, facsimile or photocopied signatures shall be considered as valid signatures.

  • Facsimile and Electronic Signatures The use of facsimile or other electronic signatures affixed in the name and on behalf of the Transfer Agent, if any, on certificates or other documents (if uncertificated) representing Shares is expressly permitted by this Agreement.

  • Electronic Signing If this contract is signed by any person using an Electronic Signature, the Buyer and the Seller: (a) agree to enter into this contract in electronic form; and (b) consent to either or both parties signing the contract using an Electronic Signature.

  • Agreement to Use Electronic Signatures I agree, and it is my intent, to sign this Contract by accessing State of Indiana Supplier Portal using the secure password assigned to me and by electronically submitting this Contract to the State of Indiana. I understand that my signing and submitting this Contract in this fashion is the legal equivalent of having placed my handwritten signature on the submitted Contract and this affirmation. I understand and agree that by electronically signing and submitting this Contract in this fashion I am affirming to the truth of the information contained therein.
