Electronic Files. By accepting and utilizing any electronic file of any Work Product or other data transmitted by ▇▇▇▇▇▇, the Client agrees for itself, its successors, assigns, insurers and all those claiming under or through it, that by using any of the information contained in the attached electronic file, all users agree to be bound by the following terms. All of the information contained in any electronic file is the work product and instrument of service of ▇▇▇▇▇▇, who shall be deemed the author, and shall retain all common law, statutory law and other rights, including copyrights, unless the same have previously been transferred in writing to the Client. The information contained in any electronic file is provided for the convenience to the Client and is provided in “as is” condition. The Client is aware that differences may exist between the electronic files transferred and the printed hard-copy original signed and stamped drawings or reports. In the event of a conflict between the signed original documents prepared by ▇▇▇▇▇▇ and the electronic files, which may be transferred, the signed and sealed original documents shall govern. ▇▇▇▇▇▇ specifically disclaims all warranties, expressed or implied, including without limitation, and any warranty of merchantability or fitness for a particular purpose with respect to any electronic files. It shall be Client’s responsibility to confirm the accuracy of the information contained in the electronic file and that it accurately reflects the information needed by the Client. Client shall not retransmit any electronic files, or any portion thereof, without including this disclaimer as part of any such transmissions. In addition, Client agrees, to the fullest extent permitted by law, to indemnify and hold harmless ▇▇▇▇▇▇, its officers, directors, employees and sub consultants against any and all damages, liabilities, claims or costs, including reasonable attorney’s and expert witness fees and defense costs, arising from any changes made by anyone other than ▇▇▇▇▇▇ or from any reuse of the electronic files without the prior written consent of ▇▇▇▇▇▇.
Electronic Files. Copies of Documents that may be relied upon by the owner are limited to the printed copies (also known as hard copies) that are signed or sealed by JEO. Files in electronic media format of text, data, graphics, or of other types that are furnished by JEO to the owner are only for convenience of the owner. Any conclusion or information obtained or derived from such electronic files shall be at the user’s sole risk. a. Because data stored in electronic media format can deteriorate or be modified inadvertently or otherwise without authorization of the data’s creator, the party receiving electronic files agrees that it shall perform acceptance tests or procedures within 30 days, after which the receiving party shall be deemed to have accepted the data thus transferred. Any errors detected within the 30 day acceptance period shall be corrected by the party delivering the electronic files. JEO shall not be responsible to maintain documents stored in electronic media format after acceptance by the owner. b. When transferring documents in electronic media format, JEO makes no representations as to long term compatibility, usability, or readability of documents resulting from the use of software application packages, operating systems, or computer hardware differing from those used by JEO at the beginning of the project. c. The owner may make and retain copies of documents for information and reference in connection with use on the project by the owner. d. If there is a discrepancy between the electronic files and the hard copies, the hard copies govern. e. Any verification or adaptation of the documents by ▇▇▇ for extensions of the project or for any other project shall entitle JEO to further compensation at rates to be agreed upon by the owner and JEO.
Electronic Files a. It is the Buyer's responsibility to maintain a copy of any original Electronic File provided by the Buyer. b. The Seller shall not be responsible for checking the accuracy of supplied input from an electronic file unless otherwise agreed in writing. c. Without prejudice to clause 5.2(b), if an electronic file is not suitable for outputting on equipment normally adequate for such purposes without adjustment or other corrective action the Seller may make a charge for any resulting additional cost incurred or may reject the file without prejudice to his rights to payment for work done/material purchased.

The ASCII text file shall be labeled ‘metedat.txt’. 2.2.3 A comma delimited ASCII text file containing all coordinates (x,y,z), point numbers, and descriptions of all survey points shall be delivered and labeled ‘points.txt’. 2.2.4 All electronic files shall be delivered on a CD-ROM disk. A ‘read me’ text file labeled ‘index.txt’ shall be included that gives a brief description of the files contained on the disk. The disk shall be labeled with the title of the project, a project contact name and telephone number, and a submittal / file creation date.
Electronic Files. All design submissions of Design-Builder shall be forwarded to Owner in electronic format pursuant to the requirements of the Contract Documents. Project drawings shall be developed in CAD format, conforming to Owner’s CAD standards. Specifications shall conform to Owner’s Master Specifications and programming shall conform to Owner’s Programming and Documentations Standards.
Electronic Files. (a) No later than 1:00 p.m. on the fourth Business Day prior to each Payment Date, the Servicer shall deliver to the Indenture Trustee and the Backup Servicer, with a copy to Citigroup Global Markets Inc. as underwriter of the Notes, the Electronic File referred to in Section 3.04(c). Offerors shall not establish links referencing other spreadsheet files not included with the proposal.

Electronic Files. 7.3.1 OWNER and CONSULTANT agree that any electronic files furnished by either party shall conform to the specifications agreed to at the time this Agreement is executed and listed elsewhere. Any changes to the electronic specifications by either OWNER or CONSULTANT are subject to review and acceptance by the other party. Additional services by CONSULTANT made necessary by changes to the electronic file specifications shall be compensated for as Additional Services. 7.3.2 Electronic files furnished by either party shall be subject to an acceptance period of 60 days during which the receiving party agrees to perform appropriate acceptance tests. The party furnishing the electronic file shall correct any discrepancies or errors detected and reported within the acceptance period. After the acceptance period, the electronic files shall be deemed to be accepted and neither party shall have any obligation to correct errors or maintain electronic files. 7.3.3 OWNER is aware that differences may exist between the electronic files delivered and the printed hard-copy documents. In the event of a conflict between the hard-copy documents prepared by CONSULTANT and electronic files, the hard-copy documents shall govern.
